1. Introduction and Acceptance

Welcome to Reagent. These Terms of Service ("Terms") govern your access to and use of the Reagent service, including our website, desktop application, and any related services (collectively, the "Service").

By creating an account, downloading our software, or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

2. Service Description

Reagent is an AI-powered audio production assistant designed to automate workflows in REAPER, a third-party digital audio workstation. The Service includes:

  • A desktop application that integrates with REAPER via its API
  • AI-driven automation capabilities for audio editing and production tasks
  • Cloud-based features for processing and storage
  • Web-based account management and subscription services

Reagent is an independent product and is not affiliated with, endorsed by, or officially connected to Cockos Incorporated or REAPER in any way.

3. Account Registration

To use the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or use

You must be at least 13 years old to use the Service. If you are under 18, you must have parental or guardian consent to use the Service.

4. Subscription and Billing

Subscription Plans

Reagent offers various subscription tiers with different features and usage limits. Details of available plans and pricing are displayed on our website and may be updated from time to time.

Billing Cycles

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing period after the notice period.

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.

Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our discretion in certain circumstances, such as technical issues that prevent you from using the Service.

5. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the Reagent desktop application on devices you own or control
  • Access and use the Service for your personal or internal business purposes
  • Use the outputs generated by the Service in your audio projects

This license does not include any right to sublicense, sell, resell, or transfer the Service or any outputs generated by automated means at scale.

6. AI and Automation Disclaimers

Reagent uses artificial intelligence and machine learning technologies to automate audio production tasks. You acknowledge and agree that:

  • AI outputs are probabilistic: Results generated by AI may contain errors, inaccuracies, or unexpected behaviors
  • User responsibility: You are solely responsible for reviewing, validating, and accepting any actions or outputs generated by the Service before applying them to your projects
  • No guarantee of results: We do not guarantee that AI-generated outputs will meet your specific requirements or expectations
  • Project backup: You should always maintain backups of your projects before using automated features that modify your work
  • Not professional advice: AI suggestions should not be relied upon as the sole basis for professional audio production decisions

We continuously work to improve our AI systems, but perfection is not achievable. Use the Service as a tool to enhance your workflow, not as a replacement for your professional judgment.

7. Third-Party Services and Integrations

The Service integrates with or relies on third-party services, including:

  • REAPER: A third-party digital audio workstation. You must have a valid REAPER license to use Reagent's integration features. We are not responsible for REAPER's functionality, availability, or any changes to its API
  • Polar/Stripe: Payment processing services. Your payment information is handled according to their respective terms and privacy policies
  • AI model providers: We may use third-party AI services to power certain features

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or omissions of third-party service providers.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the software
  • Use automated tools to scrape or extract data from the Service
  • Resell, redistribute, or sublicense access to the Service
  • Use the Service for any illegal or unauthorized purpose

We reserve the right to suspend or terminate your access for violations of this policy.

9. Intellectual Property

Our Intellectual Property

The Service, including all software, content, trademarks, and other materials, is owned by us or our licensors and is protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated.

Your Content

You retain ownership of any audio projects, files, or other content you create using the Service. You grant us a limited license to process your content as necessary to provide the Service.

AI-Generated Outputs

Subject to these Terms, you may use outputs generated by the Service in your projects. We make no claim to ownership of outputs that result from your use of the Service.

10. Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Your use of the Service is at your sole risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Reagent and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your content.

14. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, non-payment, or discontinuation of the Service.

Upon termination, your right to use the Service will cease immediately. We will delete your account data within 30 days of termination, except where we are required to retain certain information for legal or legitimate business purposes.

15. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which our company is registered, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction, as determined by applicable law.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction
